We represent employers and entities of all types - including private companies, public companies and not for profit entities. We also work with and for other law firms, accounting firms and third party administrators who need ERISA and employee benefit expertise and support on an "as-needed" basis.
We represent clients regarding all matters related to tax-qualified plans, such as 401(k) plans, profit sharing plans, defined benefit plans and cash balance plans. We also have extensive experience with employee stock ownership plans (ESOPs). We address planning, design and implementation, document preparation, document review, Internal Revenue Code and Department of Labor correction and compliance programs (EPCRS, DFVCP, etc.) and plan terminations. We advise and consult regarding business transactions and change in control transactions. We also have extensive experience regarding non-qualified deferred compensation plans, both for taxable and tax-exempt organizations, including design, compliance with Code Section 409A and funding. We prepare Form 5500 annual reports and can assist with a variety of plan testing requirements, including discrimination and coverage matters. We also represent clients in with ERISA Title I, fiduciary, prohibited transaction and plan asset matters, as well as equity-based compensation programs (e.g., stock options, restricted stock, and employee stock purchase plans).
